Terms of Service

These terms govern use of the warehouse management and order management service operated by [registered legal entity name] ("we", "us") at meirun.com and its subdomains. Using the service means accepting them.
What the service is
Software for running a third-party logistics warehouse and the seller-facing console that goes with it: receiving goods, holding stock, collecting orders from a seller's sales channels, picking, packing, buying carriage, and handing freight to a forwarder. Where we also hold and handle a customer's physical goods, that work is governed by the separate warehousing agreement signed with that customer, and where the two documents disagree, that agreement wins.
Accounts
An account is issued to a named person and is not to be shared. You are responsible for what is done with it. Tell us at once if you believe a credential has been disclosed; we will end every session on the account and issue a new sign-in link.
Your data and your connections
Your records remain yours. You grant us the licence needed to hold and process them in order to run the service for you, and nothing wider. When you connect a sales channel, you confirm you are entitled to authorise that connection, and you authorise us to collect orders and related information from it and to report fulfilment back to it.
Data collected from a sales channel is used only to fulfil the orders it belongs to and to report on that fulfilment. We do not use it for any other customer, and we do not use it to compete with you.
On closing an account we will, on request made within 30 days, export your records to you in a machine-readable form. After that, retention follows the Privacy Policy.
What you must not do
- Ship anything whose carriage is unlawful in the country it leaves or the country it enters, or anything a carrier's own terms forbid.
- Give a customs declaration you know to be wrong, including an understated value.
- Use the service to store or transmit anybody's payment card numbers, government identification numbers, or health records.
- Attempt to reach another customer's data, or test the security of the service without written permission.
- Resell access to the service without a written agreement with us.
Fees
Subscription fees are those of the plan in effect, billed in advance. Warehouse, carriage and forwarding charges are billed as incurred and are shown against the shipment that caused them. An account whose balance and credit limit are both exhausted stops accepting new outbound work until it is settled; goods already held are not affected.
Availability
We aim to keep the service available at all times and do not promise that it will be. We may take it down for maintenance, and will give notice where the work is planned. We are not responsible for a sales channel, carrier or forwarder that stops answering.
Liability
The service is provided as it is. To the extent the law allows, our total liability arising out of these terms in any twelve-month period is limited to the subscription fees you paid us in that period. We are not liable for lost profit, lost sales, or indirect loss. Nothing here limits liability that cannot lawfully be limited, and nothing here limits liability for physical loss of or damage to goods, which the warehousing agreement deals with.
Ending it
You may close your account at any time. We may suspend an account that is being used in breach of these terms, or one whose fees are unpaid, and will say which. Suspension is not deletion: your records remain, and your goods remain yours.
Changes
We will give account holders 30 days' notice by email of a material change to these terms. Continuing to use the service after that means accepting them.
Law
These terms are governed by the law of [state], United States, and its courts have jurisdiction.
